After installing Windows 2003 Scalable Networking Pack or Windows 2003 SP2 you no longer see TCPIP keepalives on network connections
This happens where the NIC card is a Broadcom BCM5708C NetXtreme II GigE (NDIS VBD Client); it can also occur with a re-branded card, such as HP NC373i.
KeepAlives failures appear differently in different applications. For Exchange, administrators will see old, orphaned connections, especially from users who connect via WiFi, VPN, etc. The connection counts will grow until users reach a maximum number of connections, causing various connection-related errors in Outlook. Event ID 9646 may appear in the application log at this point.
Problem was solved by disabling Chimney on the Exchange Network Card as requested on the article below:
disable these options due the communications problems reported after installing Win2k3 sp2:
